Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and G Capital LLC ("Company," "we," "us," or "our"), located at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, UAE, governing your access to and use of the GIGABOOST.AI platform (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

GIGABOOST.AI is an AI-powered fundraising platform that provides tools for pitch deck analysis, investor targeting, email and LinkedIn outreach generation, financial projections, company valuation, fundraising strategy, and pipeline management. The Service is designed for founders, fund managers, and organizations raising institutional capital. The AI-generated content provided by the Service is for informational purposes and should not be considered financial, legal, or investment advice.

3. Account Registration

To use the Service, you must:

• Provide a valid email address for magic link authentication
• Complete the onboarding process with accurate information
• Be at least 18 years of age
• Have the legal authority to enter into these Terms

You are responsible for maintaining the security of your account and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Subscription Plans and Payment

4.1 Plans

The Service is offered under three subscription plans: Quarterly ($7,000/quarter, $2,333/month effective), Annual ($20,000/year, $1,667/month effective), and Custom (for broker-dealers and funds raising $100M+ — book a call). Each plan provides different levels of access to features and usage limits as described on our pricing page.

4.2 Subscription Activation

By activating a paid subscription, you authorize us to charge the applicable plan fee for the billing period selected (Quarterly or Annual) and to renew the subscription automatically at the end of each billing cycle until cancelled. You may cancel at any time via your account settings or by contacting us at support@gigaboost.ai.

4.3 Cancellation and Minimum Commitment

A minimum commitment of one (1) full billing period applies (one calendar quarter for Quarterly plans, one calendar year for Annual plans). If you cancel after activation, you remain responsible for payment through the end of your current billing period. No pro-rated refunds are issued. Cancellations take effect at the end of the current billing cycle, and you retain access to the Service through that date.

4.4 Billing

Paid subscriptions are billed on a monthly or annual basis. Annual subscriptions are billed upfront for the entire year. Prices are in US dollars unless otherwise stated. All fees are non-refundable except as expressly stated herein or as required by applicable law.

4.5 Usage Limits

Each subscription tier includes specific usage limits for AI-powered features (deck reviews, investor matches, projections, strategies, and valuations). Usage resets at the beginning of each billing cycle. Annual plans receive credits upfront for the entire year.

5. User Content

5.1 Ownership

You retain all rights to the content you upload to the Service, including pitch decks, company information, and other materials ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process, store, and analyze your content solely for the purpose of providing the Service.

5.2 AI-Generated Content

Content generated by our AI modules (deck reviews, investor match scores, outreach templates, financial projections, valuations, and strategies) is provided to you for your use. You may use, modify, and distribute AI-generated content at your discretion. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

5.3 Prohibited Content

You agree not to upload content that is illegal, fraudulent, defamatory, infringing, or otherwise harmful. We reserve the right to remove content that violates these Terms.

6. Investor Database

The Service provides access to a database of investor profiles compiled from publicly available sources. We make reasonable efforts to ensure accuracy but do not guarantee that investor information is current, complete, or accurate. Investor contact information is provided for legitimate business outreach purposes only. You agree not to use investor data for spam, harassment, or any purpose that violates applicable laws, including anti-spam regulations.

7. Email Outreach

The Service allows you to send emails through your own SMTP credentials. You are solely responsible for the content and recipients of emails sent through the platform. You must comply with all applicable anti-spam laws (including CAN-SPAM, GDPR, and CASL) and email best practices. We are not responsible for emails sent through your connected SMTP account.

8. Prohibited Uses

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or harvest data from the Service
• Share your account credentials with third parties
• Resell or redistribute the Service or investor database
• Use the Service to send unsolicited bulk communications
• Upload malicious files or attempt to exploit security vulnerabilities
• Circumvent usage limits or rate restrictions
• Misrepresent your identity or the purpose of your outreach

9. Intellectual Property

The Service, including its design, code, AI models, algorithms, branding, and documentation, is the property of G Capital LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. Nothing in these Terms grants you rights to our trademarks, logos, or other brand assets.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED CONTENT, INCLUDING INVESTOR MATCHES, DECK REVIEWS, FINANCIAL PROJECTIONS, AND VALUATIONS, IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL ADVICE. WE DO NOT GUARANTEE ANY FUNDRAISING OUTCOMES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, G CAPITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless G Capital LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. You may cancel your account at any time. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimer of warranties, limitation of liability, and indemnification shall survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. Any disputes arising from these Terms shall be resolved through binding arbitration in Dubai, UAE, unless otherwise required by applicable law. You waive any right to participate in class-action lawsuits or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
